Terms & Conditions
1. Scope
These Terms & Conditions apply to all business relationships between Twende Supply (Lennert Bentrup) and its customers. The services are provided exclusively to businesses (B2B). Consumer transactions are excluded.
2. Services
Twende Supply provides services in the areas of:
- Supplier sourcing and identification
- Supplier evaluation (capacity, quality, compliance)
- Order coordination and communication with suppliers
- Support in international sourcing and procurement processes
3. Conclusion of Contract
A contract is concluded through written confirmation (e.g. via email or quotation). All offers are non-binding and subject to change.
4. Prices and Payment
All prices and conditions are agreed individually and documented in writing. Payment terms are governed by the respective individual agreement.
5. Role of Twende Supply
Twende Supply acts solely as an intermediary and coordinator between customers and suppliers and not as a manufacturer, seller, or importer of goods. Contracts concerning goods are concluded exclusively between the customer and the respective supplier.
6. Liability
6.1 Unlimited Liability: Twende Supply shall be fully liable for damages resulting from injury to life, body, or health, as well as for damages caused by intent or gross negligence.
6.2 Minor Negligence / Essential Obligations: In cases of minor negligence, Twende Supply shall only be liable if essential contractual obligations (cardinal obligations) are breached. In such cases, liability is limited to foreseeable and typical contractual damages.
6.3 Liability for Suppliers: Twende Supply assumes no liability for the conduct, performance, or reliability of suppliers unless gross negligence or intentional misconduct occurred in the selection or recommendation process.
6.4 Exclusion of Further Liability: Liability for transport damage, delays caused by third parties, customs clearance, and compliance with local regulations in the destination country is excluded unless caused directly by Twende Supply's own fault.
6.5 Mandatory Statutory Provisions: Mandatory statutory liability provisions, particularly under product liability law, remain unaffected.
7. Jurisdiction and Applicable Law
German law shall apply. The place of jurisdiction, where legally permissible, shall be Schwalbach am Taunus or the seat of the competent local court.
8. Final Provisions
Should individual provisions of these Terms & Conditions become invalid, the remainder of the contract shall remain unaffected. Amendments must be made in writing.

Twende Supply acts as an intermediary and coordinator between buyers and suppliers. We assume no liability for:
- Product quality and product specifications
- Delivery times and transport damage
- Customs clearance and import regulations
- Compliance with local regulations in the destination country
Responsibility for import procedures, customs clearance, and local compliance lies with the buyer unless otherwise agreed explicitly in writing. All information regarding suppliers, products, and pricing is provided to the best of our knowledge but without guarantee. The customer is responsible for confirming all products and specifications in writing before placing an order.
